CONSTITUTION

A. To promote harmony and mutual support among aficionados and owners of Peruvian
Paso Horses  
B. To promote the Peruvian Paso Horse in order to gain public interest and understanding
of the history, attributes and capabilities of the breed as a traveling horse.  
C. To recognize and/or preserve the traditions of the Peruvian Paso Horse.  
D. To sponsor social activities for members and their horses such as, but not limited to,
demonstrations, trail rides, training clinics, and parades, etc.  
E. To provide information and assistance to members regarding the training, showing and
breeding of the Peruvian Paso Horse.  
F. To cooperate with the American Association of Owners and Breeders of Peruvian Paso
Horses (AAOBPPH). The Peruvian Paso Horse Registry of North America (PPHRNA).
Peruvian Paso horse and other horse clubs.
G. To foster and promote the education and interest of youth for the Peruvian Paso Horse
and to encourage their participation in PPHOT activities.  
H. And for all purposes in any way related to the above for which corporations may be
organized under the laws of the State of Texas related to Non-profit Corporations.

BY-LAWS

ARTICLE I - MEMBERSHIP

The membership year of the Peruvian Pleasure Horses of Texas (Hereinafter referred to as
the PPHOT) shall begin the first day of January and end the last day of December. There
shall be four types of membership:  
1. Owner – Family, Ranch or Individual
Must be the owner of at least one registered Peruvian Paso Horse. Privileges consist of
copies of all general meeting minutes and financial statements of the PPHOT quarterly
newsletters and any special bulletins.  Fee is $35.00 annually.  
2. Non-Owner - Aficionado – Non-Voting
Privileges same as owner, except do not vote. Fee is $35.00 annually
3.Honorary - Non-Voting
Only by special appointment by the Board.  
4. Life Time - Voting
Privileges same as owner with voting rights. Only by special appointment by the Board  
5. Business/Club - Non-Voting
Receives quarterly newsletters and any special bulletins. Does not receive minutes of
meetings or financial statements. Fee is $25.00 annually.  

Annual Dues for all types of membership shall be an amount as designated above and shall
be payable at the time of joining and thereafter at the beginning of the calendar year. Dues
shall be prorated by the quarter for
new members.

ARTICLE II - BOARD OF DIRECTORS

A. The business of the Peruvian Pleasure Horses of Texas shall be managed by the Board
of Directors (hereinafter referred to as the Board) consisting of the five elected officers
(President, First Vice President, Second Vice President, Secretary and Treasurer) and four
additional elected Directors for a total of nine.  
B. Board members must be voting members in good standing of The Peruvian Pleasure
Horses of Texas.  
C. Non-Officer Board members shall be elected for a two year term of office by a vote of the
general membership at the January meeting. No member may serve more than four
consecutive years.  
D. Terms of non-officer Board members shall be staggered so as no more than two of them
will be up for election at the January meeting.  
E. A majority of the board (five) shall constitute a quorum for doing business at any
recognized meeting of the board, whether regular or special.  
F. The immediate Past-President shaft be an Ex-Official member of the board  

ARTICLE III - OFFICERS AND DUTIES OF OFFICERS

The officers to serve and effectuate the PPHOT purposes shall be President, First Vice
President, Second Vice President, Secretary and Treasurer. Officers shall be elected by the
general membership at the January meeting. Officers shall serve a period of one year from
the date of their election unless they resign or are removed by the Board for cause.
Removal of any officer for cause shall take place only upon motion duly made
to the Board and only after a majority (five) of the board indicate their favor for said removal.
In the event of disqualification or disability of any officer, the President shall appoint a
member to serve on an interim capacity until the next general membership meeting.  
A. President - Under the direction of the board, the President shall be the Chief Executive
Officer of the PPHOT and shall have the general supervision and direction of the PPHOT.
He/She shall preside at all meetings of the members and the Board of Directors, shall be ex-
official member of all standing committees, shall make any
appointments to fill permanent vacancies and shall have the general powers and duties
normally vested in a president.  
B. First Vice President - In the temporary absence or disability of the President, the Vice
President shall have the powers and be subject to all the restrictions of the President and
shall have such other duties as from time to time may be prescribed for him/her by the
Board, or the President .
C. Second Vice President-In the temporary absence or disability of the Vice President, the
Second Vice President shall perform the duties of the First Vice President and shall have
such other duties as prescribe by the Board or the President. He/She will advise the Board,
officers, committees and members on matters of parliamentary procedure and all
discrepancies or questions on voting and action will be referred for a ruling
based on Robert's Rules of Order and established By-Laws.  
D. Secretary - Shall keep accurate records of all proceedings of all the regular meetings of
the PPHOT and keep records of all general and special meetings of the Board of Directors.
A record of all minutes of regular meetings and all Board meetings shall be sent to the
general membership within ninety days of such meetings.
The secretary may use the PPHOT Newsletter to inform the general membership of these
reports when appropriate.  
E. Treasurer - The Treasurer shall collect all moneys due to the PPHOT and payout funds
of the PPHOT, make accurate Treasurers reports at all meetings, general or special, Board
or general membership under the direction of the Board. Shall keep accurate records using
standard accounting principles. Shall present the annual budget to the membership at the
annual meeting and shall be responsible for filing the annual tax returns and reports as
necessary. All moneys paid out shall be signed by the Treasurer and moneys over $100
shall be approved by the President or Vice President. The Treasurer will be responsible for
keeping a current official membership list.

ARTICLE IV - MEETINGS

A. There shall be a January meeting of the general membership at a date, time and place to
be set by the Board.
B. There shall be a Board of Directors meeting at the general membership meetings.  
C. Special meeting of the board and/or general membership may be called by the President,
or a majority of the Board of Directors. A special meeting of the general membership may be
called by twenty-five percent of the general membership petitioning the Board.  
D. Notice of the general membership meeting shall be made to all members in writing by the
club's secretary, at least thirty days prior to the date of the meeting.  
E. Special meetings require a two-week notice. Any board member who misses two or more
meetings within one calendar year I after being property notified, will be subject to possible
removal from the board.  

ARTICLE V - VOTING

A. Matters rotating to the general club shall be voted on by those designated as Owner –
Family, Ranch, Individual or Lifetime members only.  
B. Aficionado members are non-voting members.  
C. Any election or voting disputes shall be referred to the Board for disposition.  
D. Individual and lifetime membership shall have only one vote.  
E. Family and Ranch membership shall have only two votes. Each vote must be cast by a
separate individual.
F. Members must be at least 18 years of age and in good standing at the time of voting to
be eligible to vote.
G. Voting shall be by a secret ballot for election of officers and directors. Other issues may
be voted on by recognizing count, if acceptable to the majority of the voting members
present.
H. Absentee ballots will be allowed. Persons wishing to vote by absentee ballot must request
in writing an absentee ballot form from the Secretary of the PPHOT in sufficient time to have
the ballot returned to PPHOT no later than 72 hours before midnight of the day before the
election. Specific instructions will accompany ballot form. Absentee ballots will count towards
filling quorum requirements. There will be no voting by proxy.  

ARTICLE VI - COMMITTEES

Standing Committees are:  
A. Trail Riding  

B. Schooling Shows  

C. Equitation Clinics  

D. Parades  

E. Newsletter  

F. Public Relations

Special committees can be formed and an action of the committees shall be subject to the
approval of the Board. For special committees, the Chairman and members can be
appointed by the President and serve as the Board deems necessary. Committees shall be
reaffirmed or reappointed at the January meeting. The chairperson shall keep records and
reports to the Board of Directors with progress reports.  

ARTICLE VII - PUBLICATIONS

The club is authorized to publish a magazine and/or periodical newsletter to further the aims
of the PPHOT and provide information to the membership. The Board of Directors shall
exercise control over said publication.   The publication shall be published every other
month beginning in January of each year. Submission to other publications in the name of
PPHOT must be on the official PPHOT letterhead and must have approval from the
President or the Board.

ARTICLE VIII - AMENDMENTS

The By-Laws may be amended by a majority vote of the members present at a general
meeting. Any member may recommend in writing amendments or changes to be submitted
10 the Board for consideration and presentation at the next general meeting.

ARTICLE IX - PPHOT EVENT REQUIREMENTS

All PPHOT events will require the following:  
A. Registration Papers (copy) when required.  
B. Current Official Coggins Test (within 1 year).  
C. Health Certificate within 30 days when required or as requested by the responsible
committee, chairperson or host.
